OCR fees for a private limited company
The fee is calculated on authorised capital — the maximum share capital stated in the Memorandum of Association — not on the money actually paid in. Choosing a sensible authorised capital is therefore the main way to control the fee.
| Authorised capital (NPR) | Registration fee (NPR) |
|---|---|
| Up to 1,00,000 | 1,000 |
| 1,00,001 – 5,00,000 | 4,500 |
| 5,00,001 – 25,00,000 | 9,500 |
| 25,00,001 – 1 crore | 16,000 |
| 1 – 2 crore | 19,000 |
| 2 – 3 crore | 22,000 |
| 3 – 4 crore | 25,000 |
| 4 – 5 crore | 28,000 |
| 5 – 6 crore | 31,000 |
| 6 – 7 crore | 34,000 |
| 7 – 8 crore | 37,000 |
| 8 – 9 crore | 40,000 |
| 9 – 10 crore | 43,000 |
| Above 10 crore | 43,000 plus NPR 30 for every additional NPR 1 lakh |

Worked examples
- Freelance IT studio, authorised capital NPR 5 lakh: OCR fee NPR 4,500.
- Trading company, authorised capital NPR 50 lakh: falls in the 25 lakh – 1 crore band, so NPR 16,000.
- Manufacturing company, authorised capital NPR 3.5 crore: 3 – 4 crore band, so NPR 25,000.
- Large company, authorised capital NPR 12 crore: NPR 43,000 for the first 10 crore plus NPR 30 × 200 lakh = NPR 6,000, total NPR 49,000.
- Raising capital later from NPR 50 lakh to NPR 2 crore: pay the difference, NPR 19,000 − NPR 16,000 = NPR 3,000.
Total cost of starting a company: what else to budget
| Item | Typical cost | Notes |
|---|---|---|
| Name reservation | Free | Through CAMIS |
| PAN and VAT registration | Free | With the IRD — see PAN vs VAT |
| Ward / municipal registration | Varies by municipality | Set by the local government's annual finance act |
| Company seal and share certificates | Printing cost | Ordered from a stamp maker/printer |
| Notarisation and apostille | Only if documents are signed abroad | Charged by the notary or embassy |
| Professional fee | Quoted per case | Covers drafting, filing and follow-up |
| Sector licences | Depends on the regulator | See licences by business type |
How to keep registration costs down
- Set authorised capital at what you expect to issue in the next two to three years — you can increase it later by paying only the difference.
- Check the name and objectives carefully so you do not pay to amend them later.
- Collect every shareholder document before filing; resubmissions cost time, and foreign document legalisation is the slowest step.
- Plan the post-registration steps (PAN, ward, bank) together so you only visit offices once.
Was company registration free in Nepal?
For one fiscal year, yes. A Government of Nepal notice published in the Nepal Gazette on 25 September 2023, under section 18 of the Finance Act 2080, waived OCR fees for FY 2080/81 on registering private and public companies, increasing capital, issuing new shares, consolidating or dividing shares, registering foreign branch and liaison offices and registering not-for-profit companies.
That waiver was tied to FY 2080/81. For later years the normal schedule above applies unless the government publishes a new notice — which is why older presentations (including some of ours) say registration is free. We check for current notices before quoting a fee.
Key takeaways
- OCR fees rise with authorised capital: NPR 1,000 at the bottom, NPR 16,000 at NPR 1 crore, NPR 43,000 at NPR 10 crore.
- Name reservation, PAN and VAT registration are free.
- Increasing capital later costs only the fee difference, so start with a realistic figure.
- Budget for ward registration, seal, any document legalisation and sector licences.

Frequently asked questions
Is the OCR fee based on paid-up or authorised capital?
On authorised capital, the maximum capital stated in the MOA. Paid-up capital can be lower.
Is there an annual renewal fee for companies in Nepal?
The OCR does not charge an annual company renewal fee, but the company must file its annual return on time; late filing attracts fines.
How do I pay the OCR registration fee?
After the OCR approves the online file, you receive a payment notice and pay through the portal using eSewa, Khalti or a bank option.
What is the minimum capital to register a private company?
There is no general legal minimum for a private company, but authorised capital of at least NPR 1 lakh is common, and sector rules or FDI rules can require more.
Are government fees different for foreign-owned companies?
The OCR registration fee follows the same capital table. Foreign-owned companies have additional costs for FDI approval documents, legalisation and higher minimum investment.
How much does a company registration consultant charge?
Professional fees depend on the structure, number of shareholders and whether foreign investment is involved. We give a written quote that shows government fees and our fee separately.
