Company Registration Fee Calculator (Nepal OCR)

Work out the OCR fee for a private, public or not-for-profit company, branch or liaison office — and the cost of raising capital later.

How it works

Enter your authorised capital to see the Office of Company Registrar fee. A private limited company pays NPR 1,000 up to NPR 1 lakh, NPR 16,000 up to NPR 1 crore and NPR 43,000 at NPR 10 crore, plus NPR 30 per extra lakh above that. Raising capital later costs only the difference.

= NPR 10 lakh. The fee is based on authorised capital, not paid-up capital.

How the OCR fee is calculated

The fee is set by the OCR schedule under the Companies Act 2063 and depends only on authorised capital — the maximum capital in your MOA — not on how much is paid up. Up to NPR 1 crore there are four bands; from NPR 1 crore to NPR 10 crore the fee rises by NPR 3,000 for each crore; above NPR 10 crore it adds NPR 30 for every NPR 1 lakh.

The full tables for private and public companies, branches and amendments are in our company registration fees guide. FY 2080/81 was an exception: the government waived these fees for that year only.

Choosing authorised capital

  • Pick what you expect to issue in the next two or three years — increasing later only costs the fee difference.
  • Some licences and foreign investment (generally NPR 2 crore per foreign investor) need a minimum capital.
  • Paid-up capital can be lower than authorised capital and is what shareholders actually pay in.
